Law 25 section 17 requires "explicit consent" for cross-border personal information transfers unless the destination provides adequate protection. US surveillance laws under the CLOUD Act make this standard nearly impossible to meet for any US-based service provider.

For Quebec organizations, using US AI tools without explicit client consent creates direct Law 25 violations. Section 93 also requires Privacy Impact Assessments for automated processing systems that present significant risks, including AI systems processing personal information.

Quebec penalties under Law 25 section 87 reach $10 million for private sector enterprises and $25 million for certain violations. The Commission d'accès à l'information du Québec has indicated that US surveillance laws prevent the "adequate protection" finding that would exempt transfers from consent requirements.


Sector-specific risks compound the problem

Financial institutions face additional constraints under OSFI Guideline B-10 on outsourcing. Federally regulated financial institutions must maintain operational control over critical services and data, including the ability to prevent unauthorized access.

Healthcare organizations must comply with provincial health information acts.
